1. Acceptance and eligibility
These Terms of Service (“Terms”) are a binding agreement between you and XP Vault, operating XPOrders (“XPOrders,” “we,” “us,” or “our”). They govern your access to and use of xporders.com, your XPOrders account, the XPOrders desktop application, downloads, updates, support, and related services (collectively, the “Service”).
By creating an account, connecting a third-party service, starting a trial, purchasing a subscription, downloading or installing the software, or otherwise using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.
You must be legally capable of entering into a binding contract. You must be at least the age of majority in your jurisdiction to purchase a subscription. If you use XPOrders for a business or other organization, you represent that you have authority to bind that organization, and “you” includes that organization.
2. Accounts and authentication
You must provide accurate information and keep it current. The same XPOrders account may be used on the website, desktop software, and future supported applications. You are responsible for all activity under your account and for maintaining the security of your credentials, devices, authentication providers, and connected inboxes.
You may not share, sell, rent, transfer, or allow unauthorized persons to use your account. Notify security@xporders.com promptly if you suspect unauthorized access. We may require identity or ownership verification before restoring access or acting on sensitive requests.
3. Software licence
Subject to these Terms and your valid access rights, XP Vault grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable licence to download, install, and use the XPOrders software for your internal personal or business purposes on supported devices.
You may not, except where applicable law expressly permits:
- copy, distribute, resell, lease, sublicense, or commercially exploit the software;
- reverse engineer, decompile, disassemble, or attempt to discover source code or non-public interfaces;
- remove or alter proprietary notices;
- bypass authentication, subscription, download, device, rate, or security controls;
- create a competing product using non-public elements of the Service;
- use the software after your licence or access has ended.
The software is licensed, not sold. All rights not expressly granted are reserved by XP Vault and its licensors.
4. Connected services and data
XPOrders may connect to third-party services such as Google, Microsoft, Stripe, GitHub, retailers, shipping providers, or other integrations. You authorize us to access and process information from a connected service only to provide the features you request and as described in our Privacy Policy.
You are responsible for ensuring that you have all necessary rights and permissions to connect an account and process information through XPOrders. Your use of third-party services remains subject to their terms, privacy policies, technical limitations, and availability. We do not control and are not responsible for third-party changes, suspensions, data accuracy, outages, or account actions.
You retain ownership of information you submit or import (“User Data”). You grant XPOrders a limited worldwide licence to host, copy, process, transmit, display, and create technical derivatives of User Data solely as necessary to operate, secure, support, and improve the user-facing Service. You represent that your User Data and use of the Service do not violate law or third-party rights.
5. Trials, subscriptions, and billing
Free trial
Eligible new users may receive a 7-day free trial. Unless checkout expressly states otherwise, a valid payment method is required. Eligibility may be limited to one trial per person, business, payment method, or household. We may deny or revoke trial access where we reasonably suspect abuse.
Paid subscription
XPOrders Pro is currently offered for $5 per month, plus applicable taxes, in the currency displayed at checkout. Prices and plan features may change prospectively. The exact amount, currency, billing interval, and trial terms shown at Stripe Checkout control your purchase.
Automatic renewal
Unless you cancel before the end of the trial, Stripe will automatically charge your payment method when the trial ends. After that, your subscription renews monthly and Stripe charges the then-current subscription price and applicable taxes until cancelled.
Cancellation
You may cancel through the billing portal available in your XPOrders account. Unless stated otherwise at cancellation, cancellation takes effect at the end of the current trial or paid billing period, and you may retain access until then. Deleting the software, disconnecting an inbox, or deleting an XPOrders account does not by itself cancel billing.
Refunds and failed payments
Except where required by law or expressly stated otherwise, payments are non-refundable and we do not provide credits for partial billing periods, unused time, or accidental non-use. If a payment fails, Stripe may retry the payment, and we may restrict or suspend paid features until payment is completed. You remain responsible for amounts properly incurred before cancellation.
Taxes
Prices may exclude applicable sales, value-added, or similar taxes. You are responsible for taxes associated with your purchase, except taxes based on our net income.
6. Downloads and updates
Installer access may require an active trial, subscription, or access grant. Download links may be authenticated, temporary, rate-limited, or tied to a release channel. You may not share private installers or access links with unauthorized users.
XPOrders may check for updates and may require installation of security, compatibility, or minimum-supported-version updates. Updates may add, change, or remove features. You are responsible for maintaining compatible hardware, operating systems, internet access, and backups of information that you control.
Pre-release, beta, or preview builds may be unstable, incomplete, or changed without notice and are provided for testing at your own risk.
7. Acceptable use
You must use XPOrders lawfully and responsibly. You may not:
- access or use another person’s account, inbox, data, or payment method without authorization;
- use XPOrders to commit fraud, evade retailer restrictions, impersonate others, or engage in deceptive, abusive, or unlawful activity;
- interfere with, overload, scrape, probe, scan, or test the Service except through authorized features;
- introduce malware or harmful code;
- circumvent technical restrictions, rate limits, access controls, or security measures;
- use automated methods that create unreasonable load or violate third-party terms;
- upload or process content that infringes intellectual property, privacy, confidentiality, or other rights;
- misrepresent XPOrders’ relationship with any retailer, platform, or provider.
We may investigate suspected violations and cooperate with service providers or authorities where legally required or reasonably necessary to protect the Service and its users.
8. Ownership and feedback
XPOrders, including its software, website, design, branding, documentation, interfaces, features, and related intellectual property, is owned by XP Vault or its licensors. Third-party names, logos, products, and trademarks belong to their respective owners.
XPOrders is an independent product and is not sponsored, endorsed, operated by, or affiliated with Pokémon, The Pokémon Company, Pokémon Center, Walmart, Amazon, Best Buy, Target, Costco, Google, Microsoft, Stripe, GitHub, or any other retailer or provider unless expressly stated.
If you submit suggestions, ideas, or feedback, you grant us a perpetual, worldwide, royalty-free right to use and incorporate that feedback without obligation or compensation, provided we do not publicly identify you without permission.
9. Availability and changes
We aim to provide a reliable Service but do not guarantee uninterrupted, secure, or error-free availability. Order detection depends on third-party messages, formats, APIs, permissions, and internet services and may occasionally miss, duplicate, delay, or incorrectly interpret information. You are responsible for verifying important order, payment, shipment, inventory, tax, and business information against authoritative sources.
We may modify, discontinue, limit, or replace features, integrations, plans, or supported systems. Where reasonably practicable, we will provide notice of material changes that significantly reduce a paid feature.
10. Suspension and termination
You may stop using XPOrders at any time and may request account deletion. We may suspend or terminate access if you violate these Terms, create security or legal risk, fail to pay amounts due, abuse a trial, or if continued provision is no longer commercially or technically reasonable.
Where appropriate, we will provide notice and an opportunity to resolve the issue. We may act immediately where necessary to prevent harm, unauthorized access, fraud, or legal exposure.
On termination, your licence ends and you must stop using the software. Provisions that by their nature should survive—including ownership, payment obligations, disclaimers, limitations of liability, indemnity, and dispute terms—will survive.
11. Disclaimers
To the maximum extent permitted by law, the Service is provided “as is” and “as available.” XP Vault disclaims all warranties and conditions, express, implied, statutory, or collateral, including merchantability, fitness for a particular purpose, title, non-infringement, accuracy, quiet enjoyment, and uninterrupted or error-free operation.
XPOrders is a workflow and information-management tool. It is not accounting, tax, legal, financial, insurance, shipping, or professional advice. We do not guarantee retailer acceptance, order fulfillment, profits, business outcomes, inbox availability, or the accuracy of third-party information.
Nothing in these Terms excludes warranties, guarantees, remedies, or other rights that cannot lawfully be excluded or limited.
12. Limitation of liability
To the maximum extent permitted by law, XP Vault and its owners, officers, employees, contractors, affiliates, and suppliers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, business, goodwill, data, opportunities, or anticipated savings, arising from or relating to the Service, even if advised of the possibility.
To the maximum extent permitted by law, our total aggregate liability for all claims arising from or relating to the Service or these Terms will not exceed the greater of: (a) the fees you paid to XPOrders during the 12 months before the event giving rise to the claim; or (b) CAD $100.
These limitations apply regardless of the legal theory and do not apply to liability that cannot be excluded or limited under applicable law.
13. Indemnity
To the extent permitted by law, you agree to defend, indemnify, and hold harmless XP Vault and its owners, officers, employees, contractors, affiliates, and suppliers from claims, liabilities, damages, losses, and reasonable costs arising from your User Data, your misuse of the Service, your violation of these Terms or applicable law, or your infringement of another person’s rights.
14. Governing law and disputes
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-law rules. Subject to any non-waivable consumer rights, the courts located in Ontario will have exclusive jurisdiction over disputes arising from these Terms or the Service.
Before starting formal proceedings, you agree to contact legal@xporders.com and attempt in good faith to resolve the dispute informally for at least 30 days. This does not prevent either party from seeking urgent injunctive relief where appropriate.
15. General terms
- Changes: We may update these Terms. Material changes will be posted with a revised date and, where appropriate, additional notice. Continued use after the effective date constitutes acceptance.
- Assignment: You may not assign these Terms without our written consent. We may assign them in connection with a reorganization, financing, merger, acquisition, or sale of assets.
- Severability: If any provision is unenforceable, it will be modified to the minimum extent necessary, and the remaining provisions remain effective.
- No waiver: Failure to enforce a provision is not a waiver.
- Entire agreement: These Terms, the Privacy Policy, and any checkout terms form the entire agreement regarding the Service and replace prior agreements on the same subject.
- Electronic communications: You consent to receive agreements, notices, invoices, and service communications electronically.
- Headings: Headings are for convenience and do not affect interpretation.
